Terms of Use

Effective Date: September 2, 2025

These Terms of Use (the "Terms") are a legally binding agreement between you and RBE Ventures, LLC ("RBE Ventures," "we," "us," or "our") governing your use of the Metra Health mobile applications, websites, and related services (the "Service"). By clicking "I Agree," creating an account, or using the Service, you accept these Terms. If you do not agree, do not use the Service.

The Service is provided for informational and organizational purposes only and is not a medical device or a substitute for professional medical advice.

1. Eligibility and Accounts

You must be at least 18 (or the age of majority in your jurisdiction) to use the Service; users 13–17 may use the Service only with the consent of a parent/guardian. The Service is not intended for children under 13. You agree to provide accurate information, maintain the security of your login credentials, and promptly notify us of any unauthorized use of your account.

2. Acceptable Use

You agree not to: violate laws; infringe rights; upload malware; scrape or reverse‑engineer the Service; attempt to bypass security or usage limits; or use the Service to develop a competing product. We may suspend or terminate access for violations.

3. User Content

You retain ownership of content you submit ("User Content"). You grant us a non‑exclusive, worldwide, sublicensable, royalty‑free license to host, store, reproduce, adapt, and display User Content to operate, improve, and secure the Service. You represent you have all necessary rights and that your User Content complies with law.

4. Third‑Party Services

The Service may link to or integrate third‑party services (e.g., analytics, attribution, cloud hosting, Apple Health/Health Connect, ad platforms). We are not responsible for third‑party services; they are governed by their own terms and privacy policies.

5. Purchases, Subscriptions, Taxes

Some features require payment through app stores or our payment processor. Prices, taxes, and fees may change. Unless the applicable store policy says otherwise, all payments are non‑refundable. Subscriptions auto‑renew until you cancel in your app‑store account settings.

6. Refund Policy

Metra operates under a no-refund policy for all purchases and subscriptions. However, if you encounter an issue, you may contact us at support@metrahealth.ai with details of your request. To help us review your case quickly, we encourage you to include a short video showing the problem you experienced.

7. Token Usage; Overage Fees; Fair Use (AI Features)

7.1 Tokens

Certain features consume computational credits ("Tokens"). Each plan includes a limited Token allotment per billing cycle. Tokens are non‑cash, non‑transferable, and usable only within the Service.

7.2 Top‑Ups and Overage

If you exhaust your allotment, you may purchase additional Tokens in‑app for a fee. If you enable auto top‑ups, you authorize us (or our processor) to charge your payment method when your balance is low. Pre‑paid Tokens are non‑refundable and expire at the earlier of the end of your billing cycle or twelve (12) months from purchase, unless we state otherwise.

7.3 Throttling & Abuse

We may throttle, limit, or suspend Token consumption that degrades Service stability, violates these Terms or law, or reasonably appears abusive (e.g., automated scraping, model‑extraction attempts, prohibited content).

7.4 Changes

We may modify Token quotas, packaging, or pricing prospectively following notice via the Service or email. Applicable taxes/fees may apply.

7.5 Output Caution

AI outputs may be inaccurate or incomplete. You are solely responsible for reviewing outputs and decisions made in reliance on them.

8. Promotions, Rewards, Giveaways, and Product Offers

From time to time, we may offer Promotions (e.g., rewards, giveaways, trials, discounts). Separate terms (the Promotion Terms) presented at entry, purchase, or grant govern each Promotion. If these Terms conflict with Promotion Terms, the Promotion Terms control. Promotions may be modified, suspended, or terminated at any time, are void where prohibited, and may require eligibility verification. You are responsible for taxes, shipping, and fees unless expressly stated otherwise.

9. Communications (Email, SMS, Push, Calls)

We may contact you via email, SMS text, push notifications, or telephone for service and marketing purposes. Standard messaging/data rates may apply. By providing your phone number/email, you consent to receive such communications. You may opt out of marketing at any time (reply STOP to SMS; use unsubscribe links; disable push; or email support@metrahealth.ai). You will continue to receive transactional/service messages. We comply with applicable laws (e.g., TCPA, CAN‑SPAM) and will obtain required consents for SMS marketing.

10. No Medical Advice; Provider Relationship

THE SERVICE AND ANY CONTENT PROVIDED ARE FOR INFORMATIONAL PURPOSES ONLY AND DO NOT CONSTITUTE MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. RBE VENTURES, LLC AND REBIRTH ENTERPRISES LLC DO NOT PRACTICE MEDICINE OR PROVIDE HEALTHCARE SERVICES VIA THE SERVICE. YOU AGREE NOT TO RELY ON THE SERVICE FOR MEDICAL DECISIONS AND TO DISCUSS ALL MEDICAL QUESTIONS, TREATMENT DECISIONS, MEDICATIONS, AND DOSING WITH YOUR LICENSED HEALTHCARE PROVIDER, NOT WITH METRA HEALTH. IF YOU ARE EXPERIENCING A MEDICAL EMERGENCY, CALL 911.

11. Intellectual Property

The Service and its content are owned or licensed by RBE Ventures and protected by intellectual‑property laws. Except for the limited rights granted to you here, we reserve all rights. "Metra Health" and related marks are our trademarks.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error‑free, or that defects will be corrected.

13. Limitation of Liability; Security Incidents

14. Indemnification

You agree to indemnify and hold harmless RBE Ventures, Rebirth Enterprises LLC, and their affiliates, officers, directors, employees, and agents from claims arising from (a) your use of the Service, (b) your violation of these Terms or law, or (c) your violation of third‑party rights.

15. Dispute Resolution; Arbitration; Class Action Waiver

Before filing a claim, you agree to attempt to resolve disputes informally by contacting legal@metrahealth.ai. If unresolved after 30 days, any dispute arising out of or relating to these Terms or the Service will be resolved by final and binding arbitration administered by the American Arbitration Association. The arbitration will take place in New York, New York, unless the parties agree otherwise.

YOU MAY ONLY RESOLVE DISPUTES WITH US ON AN INDIVIDUAL BASIS; CLASS ACTIONS AND CLASS ARBITRATIONS ARE WAIVED to the fullest extent permitted by law. You may opt out of this arbitration provision within 30 days of first accepting these Terms by emailing legal@metrahealth.ai with your name, account email, and a statement that you opt out of arbitration.

16. Termination

We may suspend or terminate your access for any violation of these Terms or if your use poses risk to the Service or other users. You may stop using the Service at any time. Provisions that by their nature should survive termination (e.g., ownership, disclaimers, limitations, arbitration) will survive.

17. Modifications

We may modify the Service or these Terms prospectively. If we make material changes, we will provide notice (e.g., in‑app or email). Continued use after changes take effect constitutes acceptance.

18. Governing Law; Venue

These Terms are governed by the laws of the State of New York, without regard to conflict‑of‑law rules, except where preempted by federal law. Subject to the arbitration agreement above, the state and federal courts located in New York County, New York have exclusive jurisdiction.

19. Miscellaneous

These Terms and our Privacy Policy are the entire agreement between you and us. If any provision is held invalid, the remainder will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign without restriction. We are not liable for delays or failures caused by events beyond our reasonable control.
